Last updated: 18 October 2026
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and Spotx Capital Investment Ltd, trading as Vernx ("Vernx", "we", "us", "our"), company number 14205171, registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, governing your access to and use of the Vernx platform, website, and services (collectively, the "Services").
By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
2. Definitions
"Platform" means the Vernx software application accessible via vernx.co.uk and associated subdomains.
"Customer" means the employer or organisation that subscribes to and uses the Services.
"Worker" means any individual whose evidence the Customer stores on the Platform.
"Statutory Excuse" means the defence available under the Immigration, Asylum and Nationality Act 2006 where a prescribed right-to-work check has been carried out. Vernx does not create or confer that excuse.
3. Description of Services
Vernx is software that helps UK employers store right-to-work evidence, record dates, and receive reminders. Current features include:
- Worker records and document storage
- Expiry and follow-up date tracking
- Activity log and evidence export
- Self-serve subscription access to the workspace
The Services do not include carrying out a right-to-work check, identity verification, or immigration advice.
4. Critical Legal Disclaimer — Employer Responsibility
The employer always performs the check. Vernx never verifies.
Vernx is a software tool only. The Customer is solely responsible for:
- Performing prescribed right-to-work checks in accordance with current Home Office guidance
- Verifying the authenticity and validity of documents and identity
- Deciding whether a worker has permission to do the work
- Obtaining and maintaining any statutory excuse
Use of the Platform does not guarantee compliance and does not confer a statutory excuse. Vernx is not a Digital Verification Service.
5. Account Registration & Security
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorised access or security breach.
- We reserve the right to suspend or terminate accounts that violate these Terms.
- Each subscription is for a single organisation. Reselling or sublicensing without written consent is prohibited.
6. Subscriptions & Payments
6.1 Plans: Vernx offers subscription plans with varying features and worker limits. Plan details and pricing are published on our website and may be updated from time to time.
6.2 Billing: Payments are processed securely by a third-party payment provider. We do not store full card details. You agree to provide valid payment information and authorise us to charge your payment method for fees incurred.
6.3 Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You can cancel anytime by contacting hello@vernx.co.uk. Access continues to the end of the period already paid for: the end of the paid year for annual plans, and the end of the paid month for monthly plans.
6.4 Refunds: Fees are non-refundable except where required by law or at our sole discretion.
6.5 Price Changes: We may change subscription fees upon 30 days' notice. Continued use after the change constitutes acceptance.
7. Data Processing & GDPR
Where the Customer processes personal data of Workers through the Platform, the Customer is the data controller and Vernx is the data processor. A Data Processing Agreement is available on request and is incorporated by reference into these Terms.
The Customer warrants that they have a lawful basis for processing Worker data and have provided appropriate privacy information to Workers.
8. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Upload content that is illegal, fraudulent, or infringes third-party rights
- Attempt to gain unauthorised access to the Platform or other users' accounts
- Interfere with or disrupt the Services
- Reverse engineer any part of the Platform
- Process data of individuals without an appropriate legal basis
9. Intellectual Property
Vernx retains all rights in the Platform. You retain ownership of your data and grant Vernx a limited licence to process it solely to provide the Services.
10. Confidentiality
Both parties agree to keep confidential proprietary and sensitive information disclosed during the agreement. This obligation survives termination for three years, or indefinitely for trade secrets.
11. Limitation of Liability
To the maximum extent permitted by law:
Vernx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of your use of the Services.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to Vernx in the 12 months preceding the claim.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
Your statutory compliance obligations remain yours. Vernx's liability is limited to the proper functioning of the software.

13.2 By Us: We may suspend or terminate access if you breach these Terms, fail to pay fees, or engage in unlawful activity.
13.3 Effect: Upon termination, your right to use the Services ceases. Data is retained in accordance with our Privacy Notice. You may request an export before termination.
14. Force Majeure
Neither party is liable for failure or delay due to causes beyond reasonable control.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
